Scottish
country dancing has taken place in Guildford for many
years, but the gscdc
became
affiliated to The Royal Scottish Country Dance Society (
RSCDS ) in April 2004 when the Constitution was
ratified.

The
Constitution of Guildford Scottish Country Dance Club
- The
Name
The name of the Club is 'The Guildford
Scottish Country Dance Club'.
- Objective
The objective of the Club will be to
promote the advancement, knowledge, standard of
performance and enjoyment of Scottish Country Dancing.
- The
Aims
To
encourage the practice of Scottish Country Dancing,
through the provision of teaching classes, social dances
and any other function as from time to time be
considered desirable by the Committee.
To foster links with other
organizations which have similar aims or objectives.
- Membership
Membership of the Club is open to any person
with a basic knowledge of Scottish Country Dancing. The
membership will be limited to a maximum of 100 persons.
The Committee has the right to withdraw
membership from any member whose conduct is considered
detrimental to the objectives and interests of the Club.
Before exclusion, that member shall be granted a hearing
before the Committee.
- Officers
The Officers of the Club will be the
Chairman, Vice-Chairman, Treasurer and Secretary.
The Officers will be elected annually. The
Chairman may normally only serve as such for 3 years.
- Committee
The Committee will consist of the Officers
and three (3) ordinary members.
The Committee will be able to co-opt additional
members during the year as and when necessary.
The Committee will be re-elected annually.
- Subscriptions
Subscriptions will be proposed by the
Committee for the year ended April. They will be
ratified by a majority vote of 2/3rd of the
members present at the AGM.
- General
Meetings
The Annual General Meeting (AGM) will be held
on a club evening before the end of the season, which
will generally be the end of April.
A notice will be posted on the notice board six
weeks before the meeting.
Resolutions for consideration at the AGM must be
submitted to the Secretary in writing 21 days before the
meeting.
The business of the AGM shall be:-
1)
To receive the Chairman's report on the
activities of the past year and proposals for
the
future.
2)
To elect the Officers and Committee of the club
for the following year.
3)
To receive the examined Accounts of the Club and
the report thereon.
4)
To elect an independent examiner of the accounts
of the Club.
5)
To consider any resolutions of which 21 days
written notice has been given to the Secretary.
6)
To discuss informally Any Other Business with the
permission of the Chairman.
An Extraordinary General Meeting (EGM)
may be convened at the request of the Committee or by at
least 1/3rd of the members. Resolutions for
the meeting must be given to the Secretary in writing,
who will give the membership 21 days notice of the
meeting.
A 2/3rd majority of members present is
needed for a Resolution to change the Constitution.
9.
Quorum of Meetings
1/3rd of voting
members shall form a quorum at General Meetings. If
there is not a quorum at a General Meeting, that meeting
shall be adjourned and reconvened at a later date where
a quorum of more than 10 members will be required.
One
(1) Officer and three (3) members shall form a quorum at
Committee Meetings.

Dissolution of the Club
21 days notice in writing to each member is
needed of an EGM at which the resolution to dissolve the
Club is to be tabled.
A majority of 2/3rd of
members present at an EGM can vote for the dissolution
of the Club.
All net assets of the Club belong to
the members, after all liabilities have been paid. At
the EGM the proposed disposal of such net assets will
require the approval of a 2/3rd majority of
members present at the meeting.
